This document establishes the conditions and policies governing the relationship between the parties:

WHATICKET LLC, identified with EIN 36-5009550, with an address at 7345 West Sand Lake Road, Ste 210, Office 8818, Orlando, FL, 32819, hereinafter referred to as the “SERVICE PROVIDER,” and the CLIENT, user of the Whaticket platform.

1. Definitions

• “Whaticket”: Refers to Whaticket LLC, responsible for offering and maintaining the platform.
• “Platform”: The software offered by Whaticket, accessible via web or application, for managing and centralizing customer service messages.
• “User”: Any individual or legal entity registered to use the Platform.
• “Account”: The individual or business environment created by the User to access the services.
• “Plan”: Subscription modalities that determine access to functionalities and billing structure.

2. License of Use and Applicable Law

Whaticket grants the CLIENT a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform exclusively for internal business purposes.

This contract is governed by the laws of the State of Florida, USA. For CLIENTS outside the United States, local consumer protection and privacy laws apply as applicable.

Any dispute will be resolved through arbitration administered by the American Arbitration Association (AAA). If arbitration is not feasible, ordinary jurisdiction in Florida, USA, shall apply.

3. CLIENT Obligations

The CLIENT agrees to:

• Provide truthful and updated information;
• Maintain the confidentiality of access credentials;
• Use the Platform in compliance with applicable laws and these Terms;
• Immediately notify Whaticket LLC of any unauthorized use of their Account.
• Indemnify Whaticket for damages caused by improper use of the Platform when such violations are committed by Users or third parties under the CLIENT’s
• responsibility .

Whaticket reserves the right to suspend or terminate accounts in case of violation of these Terms.

4. Privacy and Confidentiality

The use of the Platform is subject to Whaticket’s Privacy Policy, available at https://app.whaticket.com/privacy.

Both parties agree to maintain the confidentiality of information shared for the execution of services, even after contract termination.

5. Intellectual Property

All rights related to the Platform, including source code, design, and trademarks, belong exclusively to Whaticket. The CLIENT may not copy, modify, or distribute any part of the Platform without express authorization.

Both Parties agree not to reproduce, decompile, or apply reverse engineering to any service or platform belonging to the other Party.

6. Limitation of Liability

Whaticket shall not be liable for:

• Direct or indirect damages resulting from the use of the Platform;
• Technical failures or temporary interruptions;
• Data loss due to external factors;
• Restrictions imposed by third parties, such as WhatsApp, Facebook, or Instagram.

7. Amendments to the Terms

Whaticket may modify these Terms with prior notice of 30 days. If the CLIENT does not agree with the changes, they may cancel their account before the new conditions take effect.

8. Termination

The CLIENT may cancel their subscription at any time. Termination will result in account deactivation and loss of stored data on the Platform.

No refunds or credits will be provided if contract cancellation occurs before the end of its term, except for specific cases individually analyzed and handled by our team.

Whaticket may terminate the CLIENT’s account in case of non-payment or violation of these Terms.

9. Pricing and Payment Methods

The prices and payment methods are detailed on the official page: https://whaticket.com/precios.

Whaticket may adjust prices with prior notice of 30 days. Continued use of the Platform after this period indicates acceptance of the new rates.

10. Ethics and Compliance

Both Parties agree to:

• Respect good business and legal practices;
• Prevent the giving or receiving of payments, gifts, or advantages that are not a contractual consequence of the obligations assumed between the parties;
• Not engage in activities or practices that constitute violations of anti-corruption laws;
• Not employ child, forced, or analogous labor;
• Observe and comply with applicable legal provisions regarding environmental protection.

By using the Platform, the CLIENT agrees to these Terms of Use.
